1. Definitions

"Platform" means the TIMELESS marketplace accessible at timeless.film and app.timeless.film, operated by TIMELESS CINEMA.

"User" means any natural person who creates an individual account on the Platform, whether acting as a representative of an Exhibitor account or a Rights Holder account.

"Exhibitor" means a cinema, festival, film club, event organiser or any professional entity that browses the catalogue, submits screening requests, and processes payments on the Platform.

"Rights Holder" means a distributor, archive, studio or any professional entity that holds and licences theatrical screening rights for films listed on the Platform. Rights Holder accounts are created by TIMELESS CINEMA — they cannot self-register on the Platform.

"Account" means the organisational entity (Exhibitor or Rights Holder) to which one or more Users are attached with defined roles (Owner, Admin, Member).

"Services" means all features offered by the Platform: catalogue browsing, screening request submission, validation workflow, payment processing, DCP/KDM delivery tracking, financial dashboard, and related backoffice tools.

"Content" means any data, text, image, metadata or information uploaded or provided by a User through the Platform.

"DCP" means a Digital Cinema Package — the digital file used for theatrical film projection.

"KDM" means a Key Delivery Message — the encryption key that unlocks a DCP for playback on a specific projector within a specific time window.


2. Operator Information

The Platform is operated by:

3. Scope and Acceptance

3.1 Scope

These Terms of Service ("ToS") govern the relationship between TIMELESS CINEMA and each individual User of the Platform. They apply to all Users regardless of their Account type (Exhibitor or Rights Holder) or role.

These ToS are distinct from the Terms of Sale, which govern commercial transactions between Accounts and must be accepted separately by the Owner or Admin of each Account.

3.2 Acceptance

By creating a User account on the Platform, the User expressly accepts these ToS in their entirety, as well as the Privacy Policy.

Acceptance is recorded electronically: the date, time (UTC), IP address and User-Agent at the time of acceptance are stored as proof of informed consent, in accordance with Article 1127-1 of the French Civil Code and GDPR Article 7. A confirmation email is sent to the User upon acceptance.

3.3 Updates

TIMELESS CINEMA may update these ToS at any time. Users will be notified of material changes and will be required to review and re-accept the updated version before continuing to access the Platform. A dedicated full-page screen will block access until re-acceptance is confirmed. A summary of material changes will be displayed at the time of re-acceptance.


4. Account Registration and Management

4.1 Eligibility

To create a User account, you must:

  • Be at least 18 years of age;
  • Have the legal capacity to enter into a binding agreement;
  • Act on behalf of a legitimate professional entity.

The Platform is exclusively B2B. Consumer or personal use is not permitted.

4.2 Account Creation

Exhibitors may self-register on the Platform and complete a multi-step onboarding process. At least one cinema and one screening room must be registered before the account becomes operational.

Rights Holder accounts are created exclusively by TIMELESS CINEMA's team. Rights Holders cannot self-register.

4.3 User Roles

Each User is attached to one or more Accounts with a defined role. A User may belong to multiple Accounts simultaneously (e.g. Admin of one Exhibitor and Member of another).

Exhibitor Account roles:

OwnerFull access. Accepts Terms of Sale on behalf of the Account. Manages billing and account settings. Manages members and API tokens.
AdminSame as Owner except account deletion. Can accept Terms of Sale.
MemberCan browse catalogue, add to cart, submit screening requests. Cannot pay, cannot manage account settings or accept Terms of Sale.

Rights Holder Account roles:

RolePermissions
OwnerFull access. Accepts Terms of Sale. Manages Stripe Connect, catalogue, and validation requests.
AdminSame as Owner. Can approve or reject screening requests.
MemberRead-only access. Can view requests and financial data. Cannot take any transactional action.

4.4 Multi-Account Use

A User may be a member of multiple Accounts. The Platform provides an account switcher to move between active Accounts. Rights and obligations apply per Account context: Terms of Sale acceptance is per Account, while ToS acceptance is per User.

4.5 Account Security

Users are solely responsible for maintaining the confidentiality of their credentials. Multi-factor authentication (MFA/TOTP) is available and strongly recommended.

Any activity performed under a User session is the User's responsibility. Sessions expire automatically after 30 days of inactivity. Individual sessions can be revoked from the User profile page.

Users must notify TIMELESS CINEMA immediately at hello@timeless.film in the event of suspected unauthorised access.

4.6 API Access

Owners and Admins of Exhibitor Accounts may generate API tokens to authenticate programmatic access to the Platform's REST API (/api/v1/). API tokens:

  • Are displayed in plaintext only once upon creation; only the SHA-256 hash is stored in the Platform's database;
  • Can be created, listed, and revoked at any time from the Account settings (API tab);
  • Must be kept confidential and must not be shared or embedded in publicly accessible code.

TIMELESS CINEMA reserves the right to revoke API tokens that are misused or suspected of compromise, without prior notice.


5. Use of the Platform

5.1 Permitted Use

Users may use the Platform solely for its intended purpose: facilitating the licensing of classic and heritage film screening rights between professional Exhibitors and Rights Holders.

5.2 Prohibited Conduct

Users agree not to:

  • Use the Platform for any unlawful purpose or in violation of applicable law;
  • Attempt to gain unauthorised access to other accounts, data, or the Platform's infrastructure;
  • Scrape, crawl, or systematically extract data from the Platform without prior written consent from TIMELESS CINEMA;
  • Upload Content that infringes third-party intellectual property rights or is otherwise unlawful;
  • Interfere with the Platform's performance, availability, or security;
  • Misrepresent their identity, organisation, or the rights they claim to hold;
  • Circumvent payment flows by transacting directly with counterparties identified through the Platform outside of the Platform;
  • Copy, retransmit, or use DCPs or KDMs outside the terms of the agreed screening licence;
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Platform.

5.3 User Content

By uploading Content (film metadata, company information, promotional materials, etc.), Users grant TIMELESS CINEMA a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, and process such Content solely for the purpose of operating the Platform and providing the Services.

Users warrant that they hold all necessary rights to the Content they upload and that such Content does not infringe any third-party rights.


6. Email Communications

As part of using the Platform, Users will receive transactional emails related to their activity, including but not limited to: account verification, password reset, session confirmation, Terms acceptance confirmation, screening request notifications, and delivery confirmations.

Rights Holders will receive email notifications for each new screening request submitted for their catalogue. These notification emails contain secure tokenised links allowing approval or rejection of requests directly from the email, without requiring login. These links expire after 14 days.

Users may not unsubscribe from transactional emails, as they are necessary for the operation of the Services.


7. Intellectual Property

The Platform, its interface, design, source code, trademarks ("TIMELESS", "TIMELESS CINEMA"), and all original content produced by TIMELESS CINEMA are the exclusive property of TIMELESS CINEMA, protected by French and international intellectual property law.

No licence is granted to Users over the Platform's intellectual property beyond what is strictly necessary for normal use of the Services.

Film content, posters, stills, and metadata remain the property of their respective Rights Holders. Film metadata is enriched in part from TMDB (The Movie Database) in accordance with its terms of use.


8. Availability and Maintenance

TIMELESS CINEMA endeavours to maintain the Platform's availability but does not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where reasonably practicable.

TIMELESS CINEMA reserves the right to suspend or modify the Platform, in whole or in part, at any time for operational or security reasons, with reasonable prior notice where possible.


9. Limitation of Liability

To the fullest extent permitted by applicable law:

  • TIMELESS CINEMA acts as a marketplace intermediary and is not party to the screening licence agreements concluded between Exhibitors and Rights Holders;
  • TIMELESS CINEMA is not liable for the accuracy of film rights information, territory availability, or pricing data provided by Rights Holders;
  • TIMELESS CINEMA is not liable for indirect, incidental, consequential, or punitive damages arising from use of or inability to use the Platform;
  • TIMELESS CINEMA's total aggregate liability for any claim arising under these ToS shall not exceed the total fees paid by the relevant User in the 12 months preceding the claim.

Nothing in these ToS limits liability for fraud, wilful misconduct, gross negligence, personal injury, or death.


10. Termination

10.1 By the User

A User may request account closure at any time by contacting hello@timeless.film. Closure does not affect obligations arising from completed or pending transactions.

10.2 By TIMELESS CINEMA

TIMELESS CINEMA may suspend or terminate a User's access, with or without notice, in the event of:

  • Material or repeated breach of these ToS;
  • Suspected fraudulent activity or misuse of the Platform;
  • Non-payment of amounts due;
  • Order or request of a competent authority.

11. Governing Law and Jurisdiction

These ToS are governed by French law.

Any dispute arising from or in connection with these ToS shall be subject to the exclusive jurisdiction of the competent courts of Nanterre (Hauts-de-Seine), France, unless mandatory applicable law provides otherwise.
